1. Application a. Individuals shall be required to complete
a membership application in the form of online registration. All fields designated
as required fields must be completed and applications missing required information
shall not be processed. b. SNT-USA shall have the exclusive right to formally
audit any application for membership, including, but not limited to verification
of employment and the like.
2.
Requirements for Membership
a. Current and active email address. SNT-USA may
send occasional product or promotion updates for the purpose of keeping you informed.
Email addresses are proprietary for use by SNT-USA only and will not be sold or
rented to outside parties; b. Physical address,
including apartment number (if applicable), city, state and zip code. No P.O.
Boxes. Rural boxes or routes are acceptable. c.
Basic computer skills and training, including the ability to access, send and
receive email, the ability to access the Internet and the ability to access and
navigate the SNT-USA Professionals Web Site. 3.
Requirements to Maintain Membership
To maintain active
membership status, Members must: a. Maintain and keep a current and valid
email address; b. Exercise decorum and courtesy towards other members and
membership representatives, staffing and personnel. 4.
Transferability a. Memberships
are not assignable or transferable to any other party.
5. Grounds
for Termination of Individual Membership a. Falsification of an application
for membership. b. Any attempt to acquire benefits through illegal, misrepresented
or fraudulent facts, information or representation. c. Maintain more than
one concurrent membership. d. Falsification or cheating on any promotion,
quiz or the like. e. Abuse or harassment of any other member, SNT-USA employee
or representative, personnel, agents or suppliers, or SNT-USA Professionals Program
participant or company. f. Intentional or willful interference with the SNT-USA
Professionals web site, which would include, but not be limited to interference
or unauthorized, attempts to add to, or modify the SNT-USA Professionals web site.
g. Any infraction of any SNT-USA Professionals Program rules and regulations.
h. Voluntary termination by member (mutual termination). i. Failure
to maintain a valid and active email address. j. Unauthorized release of
or the giving of any restricted or protected SNT-USA Professionals web site password
to any non-member. k. Failure to update profile information when requested
to by SNT-USA. 6.
Limitations a. Participation
in SNT-USA does not constitute business licensing of any kind or type; does not
constitute any certification or representation; and does not reflect or claim
to be any type of creditable Continuing Education Units (CEU). b. Membership
does not constitute a solicitation or contract for employment with SNT-USA, nor
does it constitute any type of "agent" relationship with SNT-USA. Membership
does not imply or guarantee employment of any kind with SNT-USA, or with any businesses,
or third parties involved with, directly or indirectly, in part or whole, with
the operation, or management of the SNT-USA Professionals Program.
7. Restrictions
a. SNT-USA Professionals Membership is only available to individuals as specified
in "Membership Requirements." Company or business entities do not qualify
for membership. 8.
Arbitration; Governing Law; Legal Venue
a. Dispute Resolution. Any controversy or claim arising out of or relating
to this Agreement or its breach shall be settled by arbitration in accordance
with the Commercial Arbitration Rules of the American Arbitration Association
then in effect. In any arbitration hereunder, the parties may agree on the selection
of a single arbitrator, but if they cannot so agree, each party shall select an
arbitrator and the two selected arbitrators shall select a third arbitrator. No
arbitrator may be affiliated, whether directly or indirectly, with any of the
parties, including, without limitation, as an employee, consultant, partner or
shareholder. The arbitrator(s) shall permit each of the parties to the arbitration
to engage in a reasonable amount of discovery. In the event either party requests
such arbitration, the arbitration shall be held in the County of Santa Clara,
California. The parties stipulate that the chosen arbitrator's decision must be
based on existing California law. The award by the arbitrator or arbitrators shall
be final, and judgment upon the award rendered may be entered in any court of
jurisdiction thereof. Notwithstanding the foregoing, neither party shall be prevented
from seeking injunctive relief, including, without limitation, a temporary restraining
order. 9.
No Warranties ANY
TRAINING AND EDUCATIONAL MATERIALS, SOFTWARE, PRODUCTS AND SERVICES (COLLECTIVELY,
"INFORMATION") CONTAINED WITHIN SNT-USA'S WEB SITE IS PROVIDED "AS
IS" WITHOUT WARRANTIES OR GUARANTEES OF ANY KIND, EITHER EXPRESS OR IMPLIED,
TO THE FULLEST EXTENT ALLOWABLE BY LAW. THIS INCLUDES THE IMPLIED WARRANTIES OF
MERCHANTABILITY, NONINFRINGEMENT OF INTELLECTUAL PROPERTY, AND FITNESS FOR A PARTICULAR
PURPOSE. IN NO EVENT SHALL SNT-USA AND/OR ITS RESPECTIVE VENDORS, SUPPLIERS AND
CONTRACTORS (COLLECTIVELY, "SUPPLIERS") BE LIABLE FOR ANY DAMAGES WHATSOEVER
(INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, BUSINESS INTERRUPTION
OR LOSS OF INFORMATION) ARISING OUT OF THE USE OR INABILITY TO USE THE SITE CONTENT,
EVEN IF SNT-USA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. NOTE:
SOME JURISDICTIONS MAY NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN WARRANTIES
OR THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES,
SO THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU. 10.
Term a. The Term of a member
in the SNT-USA Professionals Program is perpetual, unless revoked or terminated,
as specified in Section 5, or unless the SNT-USA Professionals Program is terminated
or membership requirements modified generally by SNT-USA, which SNT-USA may do
in its sole discretion. 11.
Changes and Modifications in Membership Program
a. SNT-USA shall have the exclusive right to change, modify or terminate any of
the terms or conditions of the SNT-USA Professionals Program and shall have the
authority to do so at any time in its sole discretion.
12. Membership Services
a. Problems or technical support
having to do with accessing the SNT-USA Membership web site, lost password inquiries,
and all other inquiries and requests for information shall be directed to shall
be directed to: login@SNT-USA.com
13. Limits of Liability
MEMBERS UNDERSTAND
AND AGREE THAT SNT-USA AND ITS SUPPLIERS SHALL NOT BE LIABLE, UNDER ANY CIRCUMSTANCES,
FOR ANY DIRECT, INCIDENTAL, PUNITIVE, SPECIAL OR CONSEQUENTIAL DAMAGES ARISING
DIRECTLY OR INDIRECTLY FROM (I) ANY CLAIMS ARISING OUT OF THE INABILITY, DELAY
OR INACCESSIBILITY OF SNT-USA'S WEB SITE; (II) ANY CLAIMS ARISING FROM THE ACQUISITION
OF ANY AND ALL INFORMATION ACQUIRED DIRECTLY OR INDIRECTLY FROM SNT-USA'S WEB
SITE, OR (III) ANY CLAIM ARISING OUT OF THE UTILIZATION OF SNT-USA'S WEB SITE,
EVEN IF SNT-USA OR ITS SUPPLIERS HAVE BEEN ADVISED OF THE POTENTIAL OF DAMAGES
RESULTING DIRECTLY OR INDIRECTLY FROM SUCH UTILIZATION THERETO. NOTE:
SOME STATES/JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY
FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, AND THEREFORE THE ABOVE LIMITATION MAY
NOT APPLY TO YOU. I
